AGL Visuals, LLC Terms of Service 

1. Introduction

 These Terms of Service ("Terms") serve as a contract between AGL Visuals, LLC (sometimes referred to as “we”) and our customers (sometimes referred to as “you”). By providing payment on our website or to a member of our staff, you hereby agree to abide by the terms of service. For more complex matters, you may be contacted by a member of our staff to provide rider agreements or amendments to the terms of service.

2. Services Offered

Our Services include:

  • Real estate and architectural photography

  • Videography

  • Drone aerial photography and videography

  • Creation of floor plans

  • Virtual staging of properties

  • Development of property listing websites

3. Booking and Scheduling

To schedule a Service, you must provide accurate information about the property and any special requirements. Bookings are subject to availability of our photographer. Both parties, AGL Visuals, LLC, and the customer, represent they will conduct good faith effort to schedule an appointment for an AGL Visual, LLC photographer to perform their agreed duties. AGL Visuals, LLC confirm the date and time of your appointment upon receipt of your request.

4. Payment Terms

  • Fees: The fees for our Services will be outlined in your service agreement or invoice. All prices are subject to change.

  • Payment Schedule: Payment is due in full prior to a photographer performing any work for the customer. Payment can be made on AGL Visuals, LLC website.

  • Late Payments: Late payments may incur additional fees or interest charges as specified in the service agreement. Services will not begin, however, until payment is made or at the discretion of AGL Visuals, LLC.  

5. Client Responsibilities

  • Property Access: The Client warrants the Client has the legal right to permit AGL Visuals, LLC to enter and remain on the premises to conduc their photography to best of AGL Visuals, LLC abilities. The Client is responsible for providing AGL Visuals, LLC with access to the property and ensuring that it is in a suitable condition for photography or videography.

  • Permissions: The Client is responsible for obtaining obtain all necessary permissions for us to conduct drone operations, take photographs, or create videos.

  • Information Accuracy: The Client is responsible for providing accurate information about the property and any special requirements for the Services.

6. Deliverables

  • Timeline: AGL Visuals, LLC is responsible for providing a timeline for deliverables of any service. Timelines may vary based on the scope of work and other factors. The customer recognizes and represents the customers understands that all timelines shall be “on or about” the delivery date.  AGL Visuals, LLC represents to provide the deliverables in the agreed upon time frame to the best of AGL Visuals, LLC abilities.

  • Format: Deliverables will be provided in the format agreed upon in the service agreement. Additional formats may be available upon request for an extra fee. 

7. Intellectual Property

  • Ownership: All intellectual property rights in the deliverables remain with AGL Visuals, LLC until full payment is received.  Therefore, the customer shall not be permitted to use or duplicate any deliverable until full payment is made. Once payment is made, the rights to use the deliverables will be transferred to the customer as specified in the service agreement.

  • Usage Rights: The Customer is granted a non-exclusive, non-transferable license to use the deliverables for the purposes specified in the service agreement. Any additional use requires AGL Visuals, LLC prior written consent.

8. Cancellations and Rescheduling

  • Client Cancellations: If the customer must cancel or reschedule a booking, please notify us as soon as possible. Cancellation or rescheduling fees may apply, as outlined in the service agreement.

  • Company Cancellations: AGL Visuals, LLC reserves the right to cancel or reschedule services due to unforeseen circumstances. 

9. Limitation of Liability

To the maximum extent permitted by law, AGL Visuals, LLC shall not be liable for any indirect, incidental, or consequential damages arising out of or in connection with our Services. Our total liability for any claim related to our Services will be limited to the amount paid by you for the specific Service that gave rise to the claim.

10. Confidentiality

We will treat all information you provide as confidential and will not disclose it to third parties except as required by law or as necessary to provide our Services.

11. Termination

We may terminate our Services if you breach these Terms or fail to meet your obligations under the service agreement. Upon termination, you will be liable for payment for any Services rendered up to the date of termination. 

12. Changes to Terms

We may update these Terms from time to time. Changes will be effective immediately upon posting on our website or as otherwise communicated to you. Continued use of our Services after such changes constitutes acceptance of the revised Terms.

13. Governing Law

These Terms shall be governed by and construed in accordance with the laws of New York. Any disputes arising under or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts located in Richmond County only. 

14. Mediation/Arbitration

 (a) Any disputes arising under the Terms of Service or any other agreement that AGL Visuals, LLC forms with their customer shall first attempted to be resolved through a good faith negotiation by and between the parties., The parties shall consult and negotiate with each other in good faith and, recognizing their mutual interests, attempt to reach a just and equitable solution satisfactory to all parties.  If, within a period of sixty (60) days after written notice of such Dispute has been served by either party on the other, the parties have not reached a negotiated solution, then upon further notice by either party, the Dispute shall be submitted to mediation administered by the AAA in accordance with the provisions of its Commercial Mediation Rules. The onus is on the complaining party to initiate each next step in this Procedure as provided below:

 (b) On failure of negotiation provided above; mediation, and as a last resort, binding arbitration shall be used to ultimately settle the Dispute. 

(c) Any Dispute that remains unresolved after good faith negotiations and three (3) failed mediations sessions shall be settle by binding arbitration. Judgment on the award rendered by the arbitrators(s) shall be final and may be entered in any court having jurisdiction thereof.

16. Entire Agreement

These Terms, together with any service agreements or invoices, constitute the entire agreement between you, the customer, and AGL Visuals, LLC regarding the Services and supersede all prior agreements or understandings, whether written or oral.
